Z&S regularly represents clients before municipal planning boards, zoning boards of appeal, legislative bodies, and various state and federal agencies in connection with obtaining approvals for all aspects of land development.  We also serve as Special Land Use and Environmental Counsel to numerous municipalities throughout New York State in complex and sophisticated land use matters. In addition, Z&S represents various community groups and coalitions of residents, elected officials and other individual stakeholders who have certain concerns about proposed projects.  Working together with a team of planners, engineers and other professional consultants, we counsel our clients through what is often a multifaceted land use review process. We especially appreciate the necessity of creating a strong and defensible administrative record in the event of an administrative or judicial challenge.  We also litigate such matters when necessary.

Litigation

Zarin & Steinmetz litigates in federal, state and municipal courts, at both the trial and appellate levels, as well as before administrative agencies. Although we strive to keep clients out of court and advise them on settlements when appropriate, we also vigorously litigate on their behalf when necessary.

Public-Private Partnerships

Zarin & Steinmetz is one of the leading law firms in the region concentrating in guiding municipalities (as Special Counsel) and private developers through the complex legal and regulatory issues which typically arise during the course of large-scale, public-private, mixed-use development projects. Public-Private Partnership projects frequently involve the economic revitalization of underutilized or blighted areas, such as waterfront sites and former contaminated industrial properties. These projects typically present issues related to Land Acquisition and Disposition, Eminent Domain, Brownfield Redevelopment, Urban Renewal, Zoning, Planning and Land Use, waterfront redevelopment, and compliance with SEQRA, NEPA and other environmental laws and regulations.

We are actively engaged in all aspects of a Public-Private Partnership, including negotiating and drafting various agreements, such as Exclusivity Agreements, Memoranda of Understanding, Development Agreements and Land Disposition Agreements, which govern the implementation of these types of redevelopment projects. Some of the key provisions in such agreements include various purchase price structures, public benefits/infrastructure/amenity packages, property acquisition procedures and funding (including eminent domain for privately owned parcels), PILOTs, TIFs, timing of necessary regulatory approvals, affordable/workforce housing requirements, community benefit programs (such as local job training and vendor programs), construction scheduling/phasing, and environmental/remediation obligations.

Real Estate and Business Transactions and Financing

Eminent Domain

City of Newburgh – Waterfront Redevelopment Project

Z&S is Special Counsel to the City in its Public-Private Partnership to redevelop 30 acres of waterfront property.

  • Advised on all contractual and real estate negotiations, SEQRA and NEPA compliance, zoning issues, and remediation of a 7-acre Superfund site on the waterfront, with estimated cleanup costs of approximately $22 million
  • Reached an agreement with EPA and several PRPs to complete and fund the cleanup of this site, which had been vacant for decades.  Prior to negotiations with EPA, the PRPs entered into a confidential mediation process to allocate responsibility in light of the significant “orphan share” involved in the case.  The cash-out settlement with EPA required EPA to perform the cleanup, and to fund a portion of the cleanup with federal funds
  • Counseled the City to promote New Urbanism design principles, which were developed after an intensive “charette” process
  • The project development program includes 1170 residential units, 105,000 square feet of destination retail, 35,000 square feet of neighborhood retail, 50,000 square feet of flex retail, 100,000 square feet of commercial space, hotel, parking, public amenities, and open space

City of Glen Cove – Waterfront Redevelopment Project

Z&S serves as Special Counsel to the City Planning Board and City Industrial Development Agency (“IDA”) with respect to the City’s Public-Private Partnership with RXR Glen Isle Partners LLC in the redevelopment of 56 acres of formerly contaminated waterfront property along the north side of Glen Cove Creek

  • Advise the Planning Board in its processing of the redeveloper’s PUD Master Development Plan Application, including, all substantive and procedural aspects of SEQRA, and DEC, Army Corps of Engineers and other agency review
  • Represent the IDA in the negotiation and drafting of the Land Disposition Agreement, including, provisions relating to project phasing, property acquisition and construction timing, various financial/funding issues, maintenance and operation of public amenities, future remediation responsibilities, off-site infrastructure, and numerous other matters
  • Co-counsel to the IDA in its acquisition and possession of a privately-owned parcel within the Project site under NY EDPL
  • Advise the City with respect to the environmental review, approval and construction of the Ferry Terminal and Boat Basin Project

City of Mount Vernon/Atlantic Development Group

Z&S serves as Special Counsel to the City ofMount Vernon City Councilfor a mixed-use Public-Private Partnership

  • Project will include, among other things, over 350 high-end, specially designed affordable housing units, improvements to the Municipal Parking Garage, traffic improvements, funding for park improvements, a senior center, rooftop and other amenities for tenants (such as lounges, workout facility and media rooms), site remediation, and space for a public access studio
  • Responsible for overseeing the environmental review of the project under SEQRA, and the processing of all approvals and various funding and financing transactions
  • Negotiated and drafted an Exclusivity and Planning Agreement, Memorandum of Understanding and Land Disposition Agreement for the Master Plan

Benjamin Companies – The Knolls of Dover

 Z&S is special counsel for this Long Island company’s public-private project for the redevelopment of the 800-acre former Harlem Valley Psychiatric Center located in Dover, New York.

  • Involves over 80 abandoned buildings, and an application for over 1400 residential units, 300,000 square feet of retail, and numerous public open space and recreational amenities
  • Represent developer in obtaining approvals for the Project’s extensive rezoning and planning, site engineering, complex strategic and financing transactions, multiple environmental reviews and remediation and cleanup
  • Project will implement Traditional Neighborhood Development and Transit Oriented Development planning principles
  • Drafted legislation approved by the Town Board conferring “vested rights” upon an approved Master Development Plan for 15 years following approval
